Terms of Service

1. Who we are

These terms are an agreement between you and HPC Share LLC, an Oklahoma limited liability company ("HPC Share," "we," "us"). They cover hpcshare.com, our apps, and any AI tools we build for you (together, the "Service"). By creating an account, buying credits, or using the Service, you agree to these terms. If you're using the Service for a business, you're agreeing on behalf of that business.

2. Your account

• You must be at least 18 years old and able to enter a contract.
• Give us accurate information and keep your password private. You're responsible for activity on your account.
• Tell us right away at sales@hpcshare.com if you think someone else has used your account.

3. Credits

• What they are. Credits pay for AI work on the Service. 100 credits cost $1. Each task has a set credit price, shown before you use it.
• They never expire. Credits stay in your account until you use them.
• They aren't money. Credits have no cash value. You can't exchange them for cash, transfer them to another account, or sell them, except as described in our Refund Policy.
• Free credits. Welcome credits and other promotional credits are free. They can't be refunded or exchanged for cash, and we may limit them to one per person or business.
• Failed tasks. If a task doesn't finish, the credits for it are returned to your account automatically.
• Price changes. We may change task prices or credit packs. Changes never reduce credits already in your account, and you'll always see the current price before a task runs.

4. Payments and the Main Street plan

• Payments are processed by Stripe. We never see or store your full card number.
• Credit packs are one-time purchases.
• The Main Street plan renews automatically every month at the price shown when you signed up, and adds its monthly credits to your account each time it renews. You can cancel anytime from your dashboard ("Manage your plan and receipts"). Canceling stops future renewals. Credits you already received stay in your account.
• Custom app plans work differently. They have a minimum term and can't be canceled online during it. See section 9.
• Prices are in U.S. dollars and don't include any taxes that may apply.

5. Spending cap

You can set a monthly spending cap in your dashboard. We'll warn you when you reach 80% of it, and tasks pause when you reach the cap until you raise it. The cap is a tool to help you stay in control. If it fails for a technical reason, our Refund Policy applies.

6. AI output: please check its work

The Service uses artificial intelligence. AI can be wrong, incomplete, or out of date, even when it sounds confident. You're responsible for reviewing anything the AI produces before you use it, send it, or rely on it. In particular:

• Rental and investment analysis is an estimate based on the numbers you enter. It is not financial, investment, tax, or legal advice. Talk to your lender, accountant, or attorney before making decisions.
• Estimates and quotes may include prices the AI suggested. Check every price before you send one to a customer. You're responsible for the prices you quote.
• Receipt reading may misread amounts or pick the wrong category. It is not tax advice. Check your records before filing.
• Listings, review replies, and other writing must follow the laws and rules that apply to you, including fair housing laws, MLS rules, and advertising rules. Check for accuracy before you post.

7. Your content

You own what you put into the Service (your "Input") and what the AI produces for you (your "Output"), as far as the law allows. You give us permission to process your Input and Output only as needed to run the Service for you. We send Input to our AI provider to produce your Output, as described in our Privacy Policy. Don't submit anything you don't have the right to use.

8. Acceptable use

Don't use the Service to:

• break any law or anyone else's rights, including discriminating in housing, lending, or hiring;
• create content that is deceptive, fraudulent, harassing, or harmful, including fake reviews;
• upload other people's sensitive personal information (like Social Security or bank account numbers) unless you need to and have the right to;
• try to break, overload, scrape, or get around the limits of the Service, or make multiple accounts to collect free credits;
• resell the Service without our written permission.

We may suspend or close accounts that break these rules. If we close your account for a reason other than a violation, we'll refund your unused purchased credits.

9. Custom apps and plan commitments

We can build an app made just for your business (a "Custom App"). There's no setup fee. Instead, you agree to keep a monthly plan for a minimum number of months (your "Term"). The size of the job sets the Term:

• Small (a tweak or variation of a catalog app): 3 months on the Main Street plan.
• Standard (a new custom app): 6 months on the Main Street plan.
• Large (connects to outside data or software, such as weather, property records, accounting, texting or calendars): 12 months, on the Main Street plan or a higher monthly plan we agree on.

The app, your Term, the monthly price and the monthly credits are shown when you start your plan, and you agree to them at checkout. You can see them anytime in your dashboard.

• Paying. Your plan is billed monthly, in advance, for the whole Term, whether or not you use the credits. Each payment adds that month's credits to your account. Credits never expire and can be used on your Custom App or any other app.
• After your Term. Your plan continues month to month, and you can keep using your Custom App as long as your plan stays active. You can cancel anytime after the Term.
• Ending early. You can't cancel a plan online during the Term. Email us at sales@hpcshare.com and choose one of these:
  • Pay out the Term. Pay the remaining months of your Term in one payment. We add the credits for those months to your account once the payment goes through. You keep using your Custom App through the end of the original Term. To keep it after that, keep a monthly plan.
  • Stop paying. Your plan ends, and you owe nothing more. Your Custom App becomes available to the public, as described below.
• Missed payments. If a plan payment fails and isn't fixed within 14 days, we treat it as choosing to stop paying.
• When you stop paying. If you stop paying for your plan, whether during the Term or after it, the Custom App is no longer private to you. Before it goes public, we remove your business name, branding and any private details from it. It then becomes available in our app catalog, where you can keep using it like any other app, paying credits for each task, and other businesses can use it too. We may also adjust it for general use. Credits you've already received stay yours under section 3.
• Who owns what. HPC Share owns the software behind every app, including Custom Apps and the general tools and know-how we use to build them. While your plan is active, or through a Term you've paid out, you have the exclusive right to use your Custom App, and we won't offer your custom version to anyone else.
• Your data stays yours. Your business records in a Custom App, like your customers, invoices and messages, are always yours. Your data never goes public with the app. When your exclusive use ends, we'll send you a copy of your data if you ask within 30 days, and remove it from the app.
• Separate agreements. If we sign a separate written agreement for a Custom App, it controls where it differs from these terms.

10. Changes to the Service and these terms

We're always improving the Service and may add, change, or remove features. We may update these terms. If a change is significant, we'll tell you by email or on the site before it takes effect. If you keep using the Service after that, you accept the new terms. If we ever shut down the Service, we'll give you at least 30 days' notice and refund your unused purchased credits.

11. Disclaimers

The Service is provided "as is" and "as available." As far as the law allows, we don't promise that it will be uninterrupted, error-free, or that AI output will be accurate or fit a particular purpose.

12. Limit of liability

As far as the law allows, HPC Share won't be liable for indirect, incidental, special, or consequential damages, or lost profits, revenue, or data, that come from your use of the Service. Our total liability for any claim about the Service is limited to the greater of (a) what you paid us in the 12 months before the claim, or (b) $100. Some places don't allow these limits, so they may not apply to you.

13. Indemnity

If someone makes a claim against us because of content you submitted, how you used Output, or your violation of these terms or the law, you agree to cover our reasonable costs of dealing with it.

14. Governing law and disputes

These terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-law rules. Before filing any claim, please contact us at sales@hpcshare.com and give us 30 days to try to resolve it. Any lawsuit must be brought in the state or federal courts located in Oklahoma County, Oklahoma, and both of us agree to those courts' jurisdiction. Either of us may bring a qualifying claim in small claims court.

15. Other terms

If any part of these terms can't be enforced, the rest still applies. If we don't enforce a term right away, we haven't given up the right to enforce it later. You can't transfer these terms without our consent. We may transfer them if our business is sold or reorganized. These terms, together with our Privacy Policy and Refund Policy, are the whole agreement between us about the Service.
